SHINGLETON GUARD

FIVE-YEAR PRORATED LIMITED PRODUCT ADHESION WARRANTY

NxTech Holdings LLC d/b/a Vital Coat

668 Capital Circle NE, Suite 12 | Tallahassee, Florida 32301 844-284-2858 | [email protected]

WARRANTY REGISTRATION REQUIRED This Warranty must be registered by a Shingleton Guard Installer through the Shingleton Guard Member Portal within thirty (30) days after application to be valid.

ADHESION COVERAGE ONLY This Warranty covers qualifying peeling, flaking, or delamination caused by a defect in the Shingleton Guard product. It does not warrant roof-life extension, leak prevention, waterproofing, appearance, UV performance, energy savings, microbial prevention, impact protection, or Shingleton Guard Installer workmanship.

1. Warranty Coverage

1.1 Who and What Is Covered

NxTech Holdings LLC d/b/a Vital Coat (“Vital Coat”) warrants to the original residential property owner (“Homeowner”) that Shingleton Guard roof coating (“Product”), when applied by a Shingleton Guard Installer to an eligible residential asphalt-shingle roof in strict accordance with the then-current Technical Data Sheet (“TDS”), will adhere to the properly prepared substrate and will not peel, flake, or delaminate because of a defect in the Product for five (5) years from the application date (“Warranty Period”).

This Warranty is issued only to the original registered Homeowner and is not transferable to a subsequent owner, buyer, transferee, tenant, or other person.

1.2 Adhesion Coverage Only

This Warranty covers Product adhesion only. It does not cover and makes no warranty concerning:

  • Prevention or repair of roof leaks, water intrusion, or waterproofing;
  • Extension of roof life or any specific remaining service life;
  • UV-protection, reflectivity, thermal, or energy-saving performance;
  • Prevention of algae, mold, moss, mildew, or microbial growth;
  • Impact, hail, storm, or wind-damage protection;
  • Appearance, sheen, color, staining, shading, or other aesthetic results; or
  • Any performance characteristic other than qualifying Product adhesion.

1.3 Not a Roof-Repair Warranty

Shingleton Guard is a preventive roof-preservation coating—not a roof-repair product, sealant, waterproofing membrane, or substitute for required repairs or roof replacement. The roof must be structurally sound, serviceable, watertight, and eligible before treatment. All active leaks, damaged shingles, flashing defects, penetration defects, and structural defects must be repaired before application.

2. Conditions of Warranty Eligibility

Coverage exists only when all applicable conditions are satisfied, including:

  • The Product was purchased through authorized channels and applied by a Shingleton Guard Installer whose authorization was active on the application date.
  • The roof was a residential asphalt-shingle roof that was structurally sound, serviceable, watertight, and suitable for treatment.
  • The roof was sloped, had positive drainage, and did not hold or pond water.
  • Required repairs were completed before treatment.
  • The roof was cleaned, rinsed, completely dried, tested, and prepared in accordance with the TDS.
  • The Product was stored, prepared, and applied within the environmental, substrate, equipment, cure, and application conditions stated in the TDS.
  • The required single coat was applied at 150–200 square feet per gallon and was never stretched beyond 200 square feet per gallon.
  • Required application information, Product usage, proof of purchase, invoice information, and before-and-after photographs were retained and submitted for registration.
  • The Warranty was registered through the Shingleton Guard Member Portal within thirty (30) days after application.

3. Exclusions

This Warranty does not apply to adhesion failure caused by, contributed to by, or resulting from any of the following:

3.1 Roof Condition and Repairs

  • Active leaks, pre-existing damage, structural defects, deteriorated or end-of-service-life shingles, unsuitable installation, or failure to complete required repairs;
  • Use of Product as a repair material, sealant, or waterproofing membrane;
  • Flat roofs, unsuitable low-slope roofs, roofs without positive drainage, or surfaces that hold or pond water; or
  • Substrate movement, settling, shifting, ventilation defects, trapped moisture, subsurface moisture transfer, or other building conditions.

3.2 Preparation and Application

  • Improper cleaning, rinsing, drying, testing, preparation, storage, mixing, handling, application, or cure protection;
  • Cleaning-solution residue, sodium hypochlorite or bleach residue, prior water repellents, oils, contamination, organic growth, or another adhesion-inhibiting substance;
  • Application to wet, damp, frozen, contaminated, or otherwise unsuitable surfaces;
  • Application outside TDS temperature, humidity, dew-point, moisture, wind, weather, or cure requirements;
  • Application of the required single coat outside 150–200 square feet per gallon, including covering more than 200 square feet per gallon;
  • Product dilution, alteration, contamination, improper storage, freezing, expiration, or use of abnormal or damaged Product; or
  • Application contrary to the TDS, Safety Data Sheet (“SDS”), Product label, or current written application instructions.

3.3 External Causes and Later Work

  • Storms, hail, wind, lightning, fire, flood, ice, snow, debris, trees, limbs, animals, pests, impact, or other acts of nature or external forces;
  • Foot traffic, tools, abrasion, pressure washing, harsh chemicals, mechanical damage, snow-removal equipment, or improper maintenance;
  • Alteration, repair, recoating, cleaning, treatment, or another material applied over the Product after installation that causes or contributes to the claimed adhesion failure. Use of an independent contractor or non-Vital Coat service does not, by itself, void this Warranty;
  • Failure to keep the roof, valleys, gutters, downspouts, drainage, flashing, penetrations, ventilation, and surrounding vegetation reasonably maintained; or
  • Normal wear or weathering that does not constitute qualifying peeling, flaking, or delamination caused by a Product defect.

3.4 Appearance and Other Performance

Color change, fading, chalking, staining, shading, sheen variation, dirt pickup, organic staining, visual differences, granule condition, or another cosmetic or performance concern that does not constitute covered adhesion failure is excluded.

3.5 Unauthorized Application or Registration Failure

Coverage is excluded if Product was applied by a person or business that was not a Shingleton Guard Installer on the application date or if registration was not completed through the Shingleton Guard Member Portal within thirty (30) days.

3.6 Property Transfer

This Warranty is issued solely to the original registered Homeowner and does not transfer. Coverage ends upon sale, conveyance, or other legal transfer of the covered property to a subsequent owner, subject to any nonwaivable right under applicable law.

4. Warranty Duration and Proration

The Warranty Period begins on the application date and continues for five (5) years. Approved replacement Product is prorated as follows:

5. Exclusive Warranty Remedy

5.1 Replacement Product Only

If Vital Coat approves a valid claim, Vital Coat will provide replacement Shingleton Guard in an amount reasonably determined to cover the affected area, multiplied by the applicable prorated percentage. Vital Coat determines the affected area, required quantity, claim eligibility, and remedy.

5.2 Delivery of Replacement Product

Replacement Product will ordinarily be provided to the original Shingleton Guard Installer for remediation. If that Installer is unavailable, no longer authorized, or no longer in business, Vital Coat may, at its option, provide an equivalent Vital Coat product directly to the covered Homeowner. Vital Coat is not responsible for locating or hiring a replacement contractor.

5.3 Costs Not Covered

  • Labor to inspect, remove, prepare, repair, reinstall, or reapply;
  • Shipping, transportation, inspection, equipment, access, or administrative costs;
  • Roof, shingle, decking, structure, flashing, or building repair or replacement;
  • Other materials, coatings, cleaners, sealants, or disposal;
  • Damage to property, contents, vehicles, landscaping, or personal property;
  • Loss of use, alternative living expenses, lost profits, or business interruption; or
  • Incidental, indirect, special, consequential, exemplary, or punitive damages to the fullest extent permitted by law.

5.4 Shingleton Guard Installer Workmanship Is Separate

This Warranty does not cover Shingleton Guard Installer preparation, labor, application, overspray, runoff, cleanup, property protection, workmanship, services, or customer promises. Any workmanship or service warranty is provided solely by the Shingleton Guard Installer. Homeowners should contact the Installer directly regarding workmanship concerns.

6. Warranty Registration

6.1 Deadline and Portal Submission

A Shingleton Guard Installer must register the Warranty through the Shingleton Guard Member Portal within thirty (30) days after application. Late or incomplete registration does not activate coverage unless Vital Coat expressly approves an exception in writing.

6.2 Required Registration Information

  • Homeowner name and contact information;
  • Residential property address;
  • Shingleton Guard Installer name and company;
  • Application date;
  • Total Product used;
  • Approximate treated square footage;
  • Proof of purchase or invoice number;
  • Clear pre-installation photographs showing roof condition; and
  • Clear completed-installation photographs showing the finished work.

During-installation photographs are recommended but are not required for registration unless requested to clarify a submission. Successful registration results in a Warranty Certificate, which the Shingleton Guard Installer must provide to the Homeowner and retain with the project record.

7. Warranty Claims

7.1 Submitting a Claim

Begin a warranty claim by emailing [email protected] with the subject line “Warranty Claim - [order or invoice number].” The Homeowner should promptly notify the original Shingleton Guard Installer of a suspected adhesion failure. Vital Coat will acknowledge the email, issue a claim reference, and provide directions for submitting the claim through the controlled Shingleton Guard warranty workflow. The claimant must provide the requested information and evidence within sixty (60) calendar days after the acknowledgment email unless Vital Coat grants a written extension or applicable law requires otherwise. The Installer must assist with documentation and portal records when requested. If the original Installer is unavailable, the Homeowner may contact Vital Coat at [email protected] or 844-284-2858.

7.2 Required Claim Information

  • Homeowner name, contact information, and property address;
  • Warranty Certificate number or proof of timely registration;
  • Original proof of purchase or invoice;
  • Date the concern was first observed;
  • Detailed description and location of the alleged peeling, flaking, or delamination;
  • Overall and close-up photographs clearly showing the claimed condition;
  • Estimated affected area in square feet and whether the concern is isolated or widespread; and
  • Original Shingleton Guard Installer’s name and contact information.

7.3 Review and Inspection

Vital Coat will generally review a complete claim within thirty (30) days, but may request additional information. Vital Coat may inspect the property through its representative, the original Shingleton Guard Installer, or a designated third party. The Homeowner must provide reasonable access. Failure to provide requested information or reasonable inspection access may result in denial.

7.4 Decision

Vital Coat will provide written notice approving or denying the claim. If approved, the notice will identify the replacement quantity and prorated percentage. No Shingleton Guard Installer, salesperson, or other person may approve a claim or bind Vital Coat to a remedy. Vital Coat’s administrative decision does not eliminate any right the Homeowner may have to challenge the decision or pursue a nonwaivable remedy under applicable law.

8. Disclaimer and Limitation of Liability

8.1 Sole Express Limited Warranty; Implied-Warranty Duration

This written Warranty is Vital Coat’s sole express limited warranty for Product adhesion. TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY IMPLIED WARRANTY, INCLUDING AN IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED IN DURATION TO THE FIVE-YEAR WARRANTY PERIOD OR THE SHORTEST DURATION PERMITTED BY LAW, WHICHEVER IS SHORTER. Vital Coat does not disclaim an implied warranty that applicable law does not allow it to disclaim or limit. Some states do not allow limitations on how long an implied warranty lasts, so this limitation may not apply. This Warranty gives the Homeowner specific legal rights, and the Homeowner may also have other rights that vary by state.

8.2 Liability Cap

To the fullest extent permitted by law, Vital Coat’s total liability for a covered claim shall not exceed the original purchase price of the Product reasonably attributable to the affected area. The replacement-Product remedy in Section 5 is exclusive.

8.3 Excluded Damages

To the fullest extent permitted by law, Vital Coat is not liable for incidental, indirect, special, consequential, exemplary, punitive, or economic damages, including loss of use, lost profits, property damage, personal-property damage, or other loss arising from Product handling, storage, preparation, application, removal, or use. Limitations apply only to the extent permitted by governing law.

9. General Terms

9.1 Governing Law

Florida law governs this Warranty without regard to conflict-of-law principles. Any permitted legal proceeding concerning this Warranty shall be brought in a court of competent jurisdiction in Leon County, Florida, subject to applicable law.

9.2 Warranty Delivery, Entire Warranty, and Modifications

Before the Homeowner enters the applicable installation agreement or pays for the warranted Product as part of the service, the Shingleton Guard Installer must provide the Homeowner with a complete, retainable copy of this Warranty. The Warranty may be supplied from the Shingleton Guard Member Portal as a printed or electronic document; it is not required to be published on a public website.

This Warranty constitutes the complete Product adhesion warranty for the covered installation and supersedes prior or contemporaneous warranty representations. Vital Coat may revise warranty terms prospectively for future installations, but a later revision does not reduce a properly registered existing Warranty unless required by law or agreed by the covered Homeowner.

9.3 Severability and No Unauthorized Modification

If a provision is unenforceable, it will be modified to the minimum extent necessary or severed without affecting the remainder. No Shingleton Guard Installer, contractor, salesperson, distributor, or other person may modify, expand, or waive this Warranty on Vital Coat’s behalf.

10. Document Control and Contact

REGISTRATION REMINDER The Shingleton Guard Installer must register this Warranty through the Shingleton Guard Member Portal within thirty (30) days after application.

  • Active leaks, pre-existing damage, structural defects, deteriorated or end-of-service-life shingles, unsuitable installation, or failure to complete required repairs;
  • Use of Product as a repair material, sealant, or waterproofing membrane;

  • Improper cleaning, rinsing, drying, testing, preparation, storage, mixing, handling, application, or cure protection;
  • Cleaning-solution residue, sodium hypochlorite or bleach residue, prior water repellents, oils, contamination, organic growth, or another adhesion-inhibiting substance;
  • Application to wet, damp, frozen, contaminated, or otherwise unsuitable surfaces;
  • Application outside TDS temperature, humidity, dew-point, moisture, wind, weather, or cure requirements;
  • Application of the required single coat outside 150–200 square feet per gallon, including covering more than 200 square feet per gallon;

  • Storms, hail, wind, lightning, fire, flood, ice, snow, debris, trees, limbs, animals, pests, impact, or other acts of nature or external forces;
  • Foot traffic, tools, abrasion, pressure washing, harsh chemicals, mechanical damage, snow-removal equipment, or improper maintenance;
  • Alteration, repair, recoating, cleaning, treatment, or another material applied over the Product after installation that causes or contributes to the claimed adhesion failure. Use of an independent contractor or non-Vital Coat service does not, by itself, void this Warranty;

  • Labor to inspect, remove, prepare, repair, reinstall, or reapply;
  • Shipping, transportation, inspection, equipment, access, or administrative costs;
  • Roof, shingle, decking, structure, flashing, or building repair or replacement;
  • Other materials, coatings, cleaners, sealants, or disposal;
  • Damage to property, contents, vehicles, landscaping, or personal property;

  • Homeowner name and contact information;
  • Residential property address;
  • Shingleton Guard Installer name and company;
  • Application date;
  • Total Product used;
  • Approximate treated square footage;
  • Proof of purchase or invoice number;

  • Homeowner name, contact information, and property address;
  • Warranty Certificate number or proof of timely registration;
  • Original proof of purchase or invoice;
  • Date the concern was first observed;
  • Detailed description and location of the alleged peeling, flaking, or delamination;
  • Overall and close-up photographs clearly showing the claimed condition;
