Purpose and contract priority. This controlled warranty presentation implements Section 13 of the Product Vendor Agreement effective April 29, 2026 between NxTech Holdings LLC and Roof Scientist. It does not amend that Agreement. If this document conflicts with the Agreement, the Agreement controls as between its parties.
1. Covered purchasers and goods
This Warranty applies to Shingleton Guard goods purchased by Roof Scientist franchisees from NxTech Holdings LLC under the Product Vendor Agreement. Shingleton Guard is the covered white-label product and program; it is not the seller, warrantor, or contracting legal entity.
2. Twelve-month warranty period and coverage
For a period of twelve (12) months from the date of delivery, NxTech Holdings LLC warrants to Roof Scientist and its franchisees that the Goods will:
- be free from defects in workmanship, design, and material;
- conform to Seller's published specifications in effect at the time of manufacture;
- be free and clear of all liens, security interests, or other encumbrances; and
- be free from infringement of third-party intellectual property.
The twelve-month period is separate from the five-year Shingleton Guard Limited Product Adhesion Warranty. It is not a five-year shelf-life promise and does not replace the separately issued adhesion warranty.
3. Storage and shelf-life conditions
The approved Shingleton Guard Technical Data Sheet states that unopened Product has a shelf life of up to one (1) year in its original sealed container when properly stored. Store at 40-95°F (4-35°C), protect from freezing, and follow the current Product label, Technical Data Sheet, and Safety Data Sheet. Shelf life and the contractual warranty are related but distinct: the Technical Data Sheet describes storage-dependent product condition, while Section 13 establishes the contractual warranty stated above.
4. Delivery inspection and notice
The franchisee must inspect the Goods promptly after delivery. Any visible shortage, damage, or nonconformity at delivery must be reported in writing within five (5) days after delivery, as required by the Product Vendor Agreement. This delivery-notice requirement is separate from a later claim concerning a condition discovered during the twelve-month Warranty Period.
5. Warranty claim process
Begin a later warranty claim by emailing [email protected] with the subject line “Warranty Claim - [order or invoice number].” Include the purchaser name, delivery address, order or invoice number, delivery date, Product identification and lot information if available, a description of the concern, photographs, storage history, and any other reasonably available supporting records.
Vital Coat will acknowledge the email and provide a claim reference and directions. The claimant must provide the requested claim information and evidence within sixty (60) calendar days after the acknowledgment email unless Vital Coat grants a written extension or applicable law requires otherwise. Vital Coat generally targets a written decision within thirty (30) calendar days after receiving all information and access reasonably required for review, subject to reasonable extensions and status updates for complex matters.
6. Remedy
If Goods fail to conform to the Section 13 warranty during the applicable Warranty Period, NxTech Holdings LLC’s sole obligation will be, at the franchisee’s option, to replace the non-conforming Goods or refund the purchase price paid for them. The remedy remains subject to the Product Vendor Agreement and applicable law.
7. Other warranties and disclaimers
The product warranty stated in NxTech Holdings LLC’s applicable online product warranty or terms and conditions also applies to the Goods listed on Exhibit A of the Product Vendor Agreement. Except as expressly stated in the Product Vendor Agreement, NxTech Holdings LLC does not make any other express or implied representation or warranty, whether arising by law, course of dealing or performance, usage of trade, or otherwise, all of which are expressly disclaimed to the extent permitted by applicable law.
